About this role
Corporate Services Limited is seeking an experienced Company Secretary (Legal) to join its Information Technology (IT) department in Lagos. In this role, you will be responsible for overseeing corporate governance, managing statutory processes, and ensuring strict regulatory compliance. The ideal candidate will act as a critical bridge between the organization, its board of directors, and prominent Nigerian regulatory bodies, maintaining operational discipline and statutory integrity across all corporate frameworks.
Key Responsibilities- Prepare and circulate board meeting agendas, board packs, minutes, and resolutions within stipulated timelines.
- Coordinate the Annual General Meeting (AGM), Extra-Ordinary General Meetings (EGMs), and committee meetings.
- Draft, review, and safeguard corporate documents, board charters, governance policies, and share certificates.
- Maintain and update the company’s statutory registers, register of members, directors' register, and other corporate records.
- Prepare, collate, and file all statutory and regulatory returns to the Central Bank of Nigeria (CBN)—including prudential returns, board composition filings, significant shareholding notifications, and any other CBN-mandated submissions—within prescribed deadlines.
- File annual returns, change of directors/officers, increase in share capital, special resolutions, and other prescribed documents with the Corporate Affairs Commission (CAC) within statutory timelines.
- Submit periodic and event-driven returns to the Securities and Exchange Commission (SEC), Nigerian Exchange Group (NGX), PENCOM, FIRS, and any other applicable regulatory body.
- Coordinate Know-Your-Customer (KYC) and AML/CFT documentation requirements as required by the CBN and NFIU guidelines.
- Manage legal correspondence, intellectual property filings, and contract administration.
- Liaise with external solicitors, auditors, and regulatory consultants on compliance and governance matters.
- Bachelor’s degree in Law, Business Administration, or a related discipline.
- Associate or Fellow membership of the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN)—required.
- Minimum of 4–8 years of post-qualification experience in a Company Secretarial or corporate governance role, preferably within a CBN-regulated institution (bank, MFB, finance company, or insurance firm).
- Demonstrable hands-on experience filing returns with the CBN, CAC, SEC, and other Nigerian regulatory bodies.
- Solid knowledge of CAMA 2020, CBN Corporate Governance Code, SEC Regulations, and Nigerian corporate governance frameworks.
- Familiarity with CBN Prudential Guidelines, AML/CFT regulations, and NFIU reporting obligations is a strong advantage.
